Eric Matuszak is a Principal in the National Tax Department - Passthrough Transactions Group, resident in Los Angeles. Mr. Matuszak's practice focuses primarily on the federal taxation of partnerships and real estate investment trusts (REITs) in a variety of domestic and international contexts.

Mr. Matuszak advises partnerships, including investment funds, on the tax issues arising on formation, disposition, mergers and acquisitions, with a particular emphasis on structuring such transactions. Mr. Matuszak has advised on the formation of several real estate and infrastructure investment vehicles, including vehicles designed for foreign and tax-exempt investors.

Mr. Matuszak also regularly advises on issues related to REITs, including conversions of existing real estate and infrastructure businesses into public and private REITs. He has advised a number of REITs in connection with initial public offerings and other public and private securities offerings, and he has also assisted a number of REITs in connection with merger and acquisition transactions. In addition, Mr. Matuszak regularly counsels REIT clients to help them maintain REIT qualification, including helping to obtain IRS private letter rulings.

Mr. Matuszak has published several articles on partnership and REIT taxation in a variety of tax journals, including Tax Notes, Taxes - The Tax Magazine, the Journal of Passthrough Entities, and the Journal of Taxation of Investments.

Prior to joining EY, Mr. Matuszak spent eight years at Latham & Watkins LLP. Mr. Matuszak is a member of the California Bar Association. Mr. Matuszak received his BA from Harvard University, cum laude, and received his JD from Loyola Law School, magna cum laude.
